REQUIREMENTS - COMPANY REGISTRATION IN POLAND
You have to show the Information about the founder and director of the company;
Passport data, if the founders are individuals and statutory documents if the founders are legal entities);
Passports of the founders and the founders themselves, already drawn up the Charter of the company – in the case of registration through a notary upon arrival in Poland.
Power of attorney from the founders for the trustee, notarized and translated copies of passports, ready-made Articles of Association.
Electronic digital signatures (EDS) of the founders, obtained earlier – for online registration.
The previously activated trusted EPUAP profiles of the founders created for online registration.
The state is trying to attract non-residents with tax incentives and a stable economy. Poland is very loyal to foreign businesspersons. Poland does not have special regulations for foreigners.
Legal address
Every
company in Poland requires a legal address. The legal address needed for receiving your business correspondence, and it is also considered that the board of the given company is located at this address, documents are stored, and the company is managed.
Bank account
The client must provide all identification information (a copy of the passport, a notary certified utility bill, a signed detailed resume, a bank reference letter confirming the client's good relationship with the bank, and a police clearance certificate. However, this list may be inconclusive and requirements may be changed.
Legal name
The company name must be unique. There are no specific requirements for a name, other than that the end of the company’s name must be the following words: "Limited liability company" or the abbreviation "Sp. z o.o." or "Spółka z o.o.".
